Terms of Service

Welcome to CreamSQL ("we," "our," or "us"). By accessing or using CreamSQL (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
1. Acceptance of Terms
By creating an account, accessing, or using CreamSQL, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using CreamSQL on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
CreamSQL is a collaborative SQL editor and database management platform that allows users to:
- Connect to and manage multiple database connections (PostgreSQL, MySQL, SQL Server, Snowflake, DuckDB, MotherDuck, ClickHouse)
- Write, edit, and execute SQL queries
- Use AI-powered features for SQL generation, completion, and assistance
- Collaborate with team members in real-time
- Organize queries in folders and manage query history
- Export query results
3. User Accounts
3.1 Account Creation
- You must provide accurate, current, and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized use of your account
- You are responsible for all activities that occur under your account
3.2 Account Types
- Free Plan: Limited features, 1 database connection, no AI features
- Individual Plan: Full features including AI assistance, unlimited connections
- Team/Enterprise Plans: Additional collaboration and administrative features
4. Acceptable Use
You agree NOT to:
- Use the Service for any illegal purpose or in violation of any laws
- Access or attempt to access other users' accounts or data without authorization
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Transmit any viruses, malware, or harmful code
- Use the Service to store or transmit sensitive personal data (SSN, credit card numbers, etc.) unless you have appropriate legal basis and consent
- Violate any third-party rights, including intellectual property rights
- Use the Service to access databases or data you do not have permission to access
5. Database Connections and Data
5.1 Your Responsibility
- You are solely responsible for the databases you connect to CreamSQL
- You must have proper authorization to access and query any database
- You are responsible for ensuring your database credentials are secure
- We are not responsible for any data loss, corruption, or unauthorized access to your databases
5.2 Data Storage
- Query text, SQL code, and metadata are stored on our servers
- Query results are not permanently stored unless you explicitly save them
- Schema information is cached to improve performance
- You can delete your data at any time through the Service
5.3 Data Security
- We use industry-standard encryption for data in transit and at rest
- Database credentials are encrypted and stored securely
- We implement security measures, but you are responsible for securing your database connections
6. AI Features
6.1 AI-Powered Assistance
CreamSQL includes AI features powered by third-party providers (including OpenAI):
- Ghost Text: Automatic SQL completion suggestions
- Ask Mode: Conversational SQL assistance
- Plan Mode: Structured SQL planning and next-step suggestions
- Agent Mode: AI-powered SQL generation and editing
6.2 AI Usage Limits
- Free plan: No AI features available
- Individual plan: Limited AI credits per month
- Team/Enterprise plans: Higher or unlimited AI credits
6.3 AI Data Handling
- For AI Completions: Your query text and schema information (table names, column names, data types) are sent to AI providers to generate SQL responses
- For Embeddings: Schema information (table names, column names, data types) is sent to AI providers' embedding APIs to generate vector embeddings that improve AI suggestions (this happens when schemas are synced)
- AI providers may use this data to improve their models (subject to their privacy policies)
- We do NOT share: Your actual database data, query results, or database credentials with AI providers
- You can opt out of AI features by not using them
7. Subscriptions and Payments
7.1 Subscription Plans
- Subscriptions are billed monthly or annually
- Prices are subject to change with 30 days' notice
- You can upgrade, downgrade, or cancel your subscription at any time
7.2 Payment Processing
- Payments are processed through Stripe
- You agree to provide accurate payment information
- You authorize us to charge your payment method for subscription fees
7.3 Refunds
- Subscription fees are non-refundable except as required by law
- If you cancel, you retain access until the end of your billing period
- No refunds for partial billing periods
7.4 Cancellation
- You can cancel your subscription at any time
- Cancellation takes effect at the end of your current billing period
- Upon cancellation, your account will revert to Free plan limitations
8. Intellectual Property
8.1 Our Rights
- CreamSQL, including its design, features, and functionality, is owned by us
- All trademarks, logos, and brand names are our property
- You may not copy, modify, or create derivative works of the Service
8.2 Your Rights
- You retain ownership of your queries, data, and content
- You grant us a license to store, process, and display your content as necessary to provide the Service
- You grant us permission to use anonymized, aggregated data for analytics and service improvement
9. Third-Party Services
CreamSQL integrates with third-party services:
- Clerk: Authentication and user management
- Stripe: Payment processing
- OpenAI: AI features
- Supabase: Database hosting
- Liveblocks: Real-time collaboration
Your use of these services is subject to their respective terms of service and privacy policies.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM
- WE ARE NOT RESPONSIBLE FOR ANY DATA LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO YOUR DATABASES
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your access to databases or data without proper authorization
12. Termination
12.1 By You
- You may stop using the Service at any time
- You can delete your account through the Service settings
12.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- You fail to pay subscription fees
- We discontinue the Service (with reasonable notice)
12.3 Effect of Termination
- Your access to the Service will be terminated
- Your data may be deleted after a reasonable retention period
- You remain responsible for any charges incurred before termination
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via:
- Email to your registered address
- Notice within the Service
- Updated "Last Updated" date
Your continued use of the Service after changes constitutes acceptance of the new Terms.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Utah, without regard to conflict of law principles.
14.2 Dispute Process
- First, contact us to resolve the dispute informally
- If unresolved, disputes will be resolved through binding arbitration
- Class action lawsuits are waived
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
15.2 Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
15.3 Assignment
You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.

16. Special Provisions for Enterprise Customers
If you have an Enterprise plan, additional terms may apply as specified in your Enterprise Agreement.
